PREAMBLE / RECITALS

WHEREAS, Party A is engaged in the business of  to develop the language, presentation and negotiation skills of Party B; and possesses expertise, experience, and resources necessary to to develop the language, presentation and negotiation skills of Party B;

WHEREAS, Party B seeks to leverage the expertise, experience, and resources of Party A to to develop their language, presentation and negotiation skills;

WHEREAS, the Parties acknowledge that a successful collaboration requires a clear delineation of rights, obligations, and expectations with respect to the steady improvement of said skills of Party A;

WHEREAS, the Parties have engaged in good faith negotiations to establish a framework within which they can cooperate to achieve their mutual objectives, while safeguarding their respective interests, and ensuring compliance with all applicable laws and regulations;

WHEREAS, each Party has independently determined that entering into this Agreement is in its best interest, and has obtained all necessary approvals, consents, and authorizations to do so;

NOW, THEREFORE, in consideration of the mutual promises, covenants, and undertakings set forth herein, and for other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the Parties hereto agree as follows:
