7. Subcontracting of Consultancy Services

The Consultant may, with the prior written consent of the Client, subcontract any portion of the consultancy services (the „Services”) to third-party consultants or service providers (the „Subcontractors”). Such consent shall not be unreasonably withheld or delayed by the Client. However, the Consultant shall remain fully liable for the performance of all obligations under this Agreement, even when such obligations are performed by a Subcontractor.

The Consultant shall ensure that any Subcontractor engaged in the provision of Services is bound by confidentiality and data protection obligations no less stringent than those set forth in this Agreement. The Consultant shall also provide Subcontractors with any instructions necessary to ensure the quality and timely delivery of the Services.

The Consultant shall ensure that all Subcontractors comply with the terms of this Agreement, applicable laws, and the professional standards required for the Services.

The Consultant shall bear sole liability for the remuneration of all Subcontractors engaged to perform the Services. Under no circumstances shall the Client be liable for any payment obligations owed to Subcontractors.
