Parties to the Agreement

This Agreement („Agreement”) is entered into as of [Effective Date], by and between:

[Party A’s Full Legal Name], having its registered office at [Party A’s Address], Tax ID: 123456789, represented by John Smith (hereinafter referred to as „Party A”);

and

[Party B’s Full Legal Name], registered office at [Party B’s Address] Tax ID: 987654321, represented by Jane Doe  (hereinafter referred to as „Party B”).

Collectively referred to herein as the „Parties” and individually as a „Party.”

1. Authority: Each Party represents and warrants that it has the full power and authority to enter into this Agreement and to perform its obligations hereunder.

2. Due Organization: Each Party represents and warrants that it is duly organized, validly existing, and in good standing under the laws of the jurisdiction of its incorporation or formation and has the requisite power and authority to conduct its business as it is presently being conducted.

3. Identification of Parties
3.1 Party A: For the purposes of this Agreement, the term „Party A” shall include its subsidiaries, affiliates, successors, and assigns.
3.2 Party B: For the purposes of this Agreement, the term „Party B” shall include its subsidiaries, affiliates, successors, and assigns.

4. Changes in Control
Each Party agrees to notify the other Party in writing within [number] days of any change in control of its ownership or management structure that could reasonably be expected to affect its ability to perform its obligations under this Agreement.
