5.1 Payment Obligation and Schedule

The Buyer shall pay the Seller the total purchase price of HUF 300,000,000, inclusive of all applicable taxes, fees, and charges (the “Purchase Price”), in accordance with the payment schedule set forth below. Payments shall be made in Hungarian forints via bank transfer to the account designated by the Seller in writing no later than eight (8) days prior to the payment due date. The Purchase Price shall be paid in the following installments:

(a) An initial deposit of 10% of the Purchase Price, amounting to HUF 30,000,000, payable within ten days of the Effective Date of this Agreement.

(b) A second installment of 10% of the Purchase Price, amounting to HUF 30,000,000, payable within thirty (30) days after the delivery of the Goods to the Buyer’s Business Premises.

(c) The remaining balance of 80% of the Purchase Price, amounting to 240,000,000, payable within sixty (60) days after final acceptance, subject to Section 5.4 below.
