Warranty of Merchantability and Fitness for a Particular Purpose

The Seller hereby represents and warrants that the Goods supplied under this Agreement shall, at the time of delivery and for a period of twelve (12) months thereafter:

(a) be of merchantable quality, fit for the ordinary purposes for which goods of the same kind are commonly supplied, of satisfactory quality, and free from material defects in design, materials, and workmanship;

(b) conform in all material respects to the specifications, descriptions, samples, or models provided by the Seller; and

(c) where the Buyer has made known to the Seller, expressly or by implication, any particular purpose for which the Goods are required, be fit for such particular purpose, and the Buyer has relied on the Seller’s skill, judgment, or expertise in selecting or furnishing the Goods.

The Seller further warrants that the Goods shall comply with all applicable laws, regulations, and industry standards in force at the time of delivery.
